(also عقد شكلي) A contract not entered into on the basis of the mutual consent of the parties thereto, or one which might need some form of legal formality, such as executing it under seal, to make it binding on both parties. Within the context of contract formality is, therefore, of two classes: a. formalities that create a contract (ie mutual consent and other relevant elements) b. formalities that prove the existence of a contract (ie the fact of its having been under seal).
